Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of the services provided by Maximus Smart Haul (“we”, “our”, “us”) when you engage us for freight dispatching, logistics coordination, and related support services (“Services”). By using or contracting our Services, you (“Carrier”, “Client”, “you”) agree to be bound by these Terms.

2. Services Provided

We provide:

  • Dispatching and load arrangement
  • Rate negotiation with brokers
  • Back-office support, including billing, documentation, and compliance
  • Route planning, shipment tracking, and driver support
  • Any allied logistics and transportation services as agreed

We do not operate physical trucks or act as a carrier — liability for cargo remains with the Carrier.

3. Service Fees & Payment
  • Our fee is [6%] of gross freight per load or a pre-agreed flat fee (whichever is agreed in writing).
  • We invoice upon confirmation of delivery and receipt of signed POD (Proof of Delivery).
  • Payment is due within 7 days from invoice date.
  • All payments are in U.S. Dollars (USD) unless otherwise agreed.
4. Conditions of Use & Carrier Obligations
  • The Carrier must hold all required legal permits, licensing, insurance, and registrations (DOT, MC, etc.).
  • The Carrier must provide accurate truck and driver information.
  • The Carrier must cooperate with advice, directions, and provide documentation (PODs, rate confirmations) promptly.
  • The Carrier indemnifies and holds harmless Maximus Smart Haul for claims due to cargo loss, damage, accidents, or legal violations.
5. Confidentiality & Data Protection
  • We treat your business data, load details, routes, rates as confidential.
  • Neither party may disclose proprietary information to third parties without express consent.
  • We collect and process personal data in accordance with our Privacy Policy.
  • We may share necessary data with industry partners, brokers, or compliance bodies as required.
6. Liability & Limitation of Liability
  • We are not liable for cargo loss, damage, theft, or accidents — that remains with the Carrier.
  • Our liability for service failure is limited to the fee paid for that particular load.
  • In no event shall we be liable for indirect, incidental, special, or consequential damages.
7. Termination
  • Either party may terminate this agreement with 7 days’ written notice.
  • Upon termination, outstanding invoices and fees remain due.
  • Carrier must complete any in-progress loads under agreed terms.
8. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, governmental action, etc.). The affected party must notify the other promptly.

9. Amendments

We reserve the right to modify these Terms. Changes take effect when posted on our website. Continued use of Services after posting constitutes acceptance.

10. Dispute Resolution & Governing Law
  • These Terms are governed by the laws of Pakistan.
  • Disputes shall first try mediation; failing that, arbitration at Pakistan under the Arbitration Act of Pakistan.
  • The decision of the arbitrator(s) is final and binding.
11. Severability & Waiver

If a provision is invalid, the rest remain in effect. No waiver of any term is effective unless in writing signed by both parties.
